Promedica's Hospices to Merge into Curo

An anonymous commenter alerted me to this find:

On behalf of ProMedica Skilled Nursing and Rehabilitation and its affiliated hospice entity, In Home Health, LLC d/b/a ProMedica Hospice (Raleigh) as set forth in Attachment A (the “Licensed Hospice Agency”), this correspondence is to notify the North Carolina Division of Health Service Regulation, Healthcare Planning and Certificate of Need Section of its intent to transfer the operations of the Licensed Hospice Agency to Curo Health Services, LLC (the “Proposed Transaction”). The closing of the Proposed Transaction is scheduled to occur on or about June 1, 2023.
It is June 13th and the deal is yet to close.  The filing with the North Carolina Division of Health Service Regulation occurred five days prior to the deal's announcement.


The document also showed an organizational chart reflecting ownership after the deal is completed.  It has all the unfamiliar names identified previously by Generic Hospice, Falcon Hospice, Charlotte Buyer, Kentucky Homecare as well as the more familiar Gentiva, KAH Hospice and Curo Health Services.  The chart indicates Clayton Dubilier and Rice own 60% through Falcon Holdings L. P. (Cayman) and Humana 40% of various entities, including Curo Health Services.

This ample evidence should enable the Center for Economic and Policy Research to correct their report.  We'll see if that happens.

Moody's reported the deal has a December 31, 2023 closing date to make plenty of room for Federal Trade Commission approval but parties expect a closing much sooner than that date.

The next big things are the FTC's decision on the buyout and the new Charlotte Buyer rating from Moody's.  Can't wait.

    Amazing field staff who work tirelessly for their patients.

    -Incredibly overworked, unmanageable workloads (unsafe ratios), ridiculous busy work, company states that there are staff ratios but then won't hire because there isn't enough money. -Health insurance is a joke. Incredibly expensive, high premiums, high copays, very few providers in the network. Even if you do all of the requirements to get the lower premium, they will find a problem and refuse you the lower rate. And if you do have an appointment, those flexible hours are not so flexible. - Toxic management. Bad leaders are rewarded, and speaking up is met with gaslighting. When I tried to address hurdles for providing patient care, I was told that I was just upset about money and needed to remember that I was there for the patients (I never brought up money) - Work-life balance is not respected. You are expected to be charting after hours and making calls even when you are off. This includes PRN staff! You will be expected to do work off the clock when you are not being paid. -They will have you spend 2 weeks on computer trainings that is irrelevant but then throw you out to the wolves after a very brief field training. - Management is not supportive or helpful. You will be made to feel horrible for asking questions or seeking clarification. This includes being called out publicly. And no, reporting this doesn't help. They also don't meet expectations or follow their own standards but you sure better. - Incredibly top heavy management that is disconnected. - We're not given the resources that we need to succeed. You can state what you need, but they will not provide anything for you. And then it's a performance problem when you fail. - The company will not spend the money it needs to take care of patients and staff are just expected to step up and figure it out. A lot of staff buy their own medical equipment because we know that our patients would have to go with out. - Feedback is not just unwelcome, It's not tolerated. There are glaring obvious problems and when we come back with really realistic and obtainable solutions, they are treated as insubordination. - You will be lied to. They will not give you real information bout insurance before you start. They will lie about ratios, hours, and on-call. They will say there is an opportunity for advancement in positions that don't have advancement available. When you interview, management likes to pull in people who they have told to say good things so you take the job. - The company is not doing well and sinking. If you decide to look elsewhere, you will be referred to as the "rat" that is fleeing. Numerous incidents of ableism, racism, transphobia, so forth. Management has led and supported these "jokes." And if you speak up, you're just a stick in the mud. - Not nearly enough compensation for miles put on your car or use of your personal phone. You will be expected to keep email on your phone so you can check it when you are off. I could go on, but I think you get the point. At least 50% of the staff is actively looking elsewhere. There is no concern for keeping good staff. The morale is trash and management won't do more than a snack bowl in the office. Seeing coworkers in tears on at their break is a regular occurrence.

    Advice to Management

    Honestly, clear out management and start over. These are real employees and patients that you are negatively impacting. You've been given so many chances to step up and you don't. The problems are clear as day.

    This company is For Profit so all that matters is numbers. They treat their employees horribly and will lie to get you to do what they want. Terrible corporate support. Pay was the lowest in the region. Absolutely no work life balance. Will lie about on call and job duties. Management even on the office level will lie about anything just to get their bonuses.

    Terrible management , rude and disrespectful No support Hired by ED no on call , no holidays then 8 months out they said I was misled when hired and was expected to do on call and holidays . No work life balance Older staff disrespected

    Advice to Management
    Respect your professional staff , we are NOT cheaper by the dozen , as was stated ! Honor your agreement with employee how your hired them . Respect your older worker , we bring a lot to the table.

    My team was supportive overall, but there is constant turnover in upper management and branch staff. Every 6 mos expect to have your branches ED fired and usually not replaced for another 6 mos. Management doesn't help out when short staffed leading to poor work-life balance for clinical staff.
    Regular morning team meetings are prayer meetings, and they assume everyone wants to participate. One mandatory staff meeting ended with the laying of hands on an employee and the anointing of oil by the chaplain. Not kidding.
    Chaplain didn't serve patients who were of non-Christian faiths. Would be nice if they at least tried to learn about other religions and help educate the team on how to ensure we aren't accidentally offending Muslim/Hindu/Buddhist/etc patients.

  10. Promedica employee may want to brace themselves. Colorado chaplain wrote the following about Gentiva:

    Though you do, in fact, work from home, the mileage from your home to the office is deducted daily...whether you travel to the office or not. The rate is .44/mile...an anemic rate, plus they deduct the "commute miles" daily, though you may only see the office once every 2 wks for IDG. It's a rip-off. This branch should close...census never approaches a load for a FT chaplain. Heavily corporate...money comes before patient care.

    You will most definitely work many hours without being compensated. Mileage reimbursement is significantly lower than federal level. Flat rate if called out while on call. These amounts often don't come close to being adequate for time spent out on a call. Since Gentiva took over staff are fleeing.
